Welcome to Listing Packs AI. These Terms of Service ("Terms") govern your access to and use of the Listing Packs AI platform, website, and related services (collectively, the "Service") operated by Listing Packs Inc. ("Company," "we," "us," or "our"). By creating an account or using any part of the Service, you agree to be bound by these Terms in their entirety.

1. Eligibility

You must be at least 18 years of age and have the legal capacity to enter into a binding agreement. By using the Service, you represent and warrant that you meet these requirements. If you are using the Service on behalf of a business, brokerage, or organization, you represent that you have authority to bind that entity to these Terms.

2. Account Registration and Security

• You must register an account with a valid email address and create a secure password.
• You are solely responsible for maintaining the confidentiality of your login credentials.
• You must immediately notify us of any unauthorized access to your account.
• We reserve the right to suspend accounts that show suspicious activity.
• One person or entity may not maintain multiple accounts for the purpose of circumventing usage limits or credit restrictions.

3. Description of Service

Listing Packs AI is a SaaS platform that leverages artificial intelligence (specifically OpenAI's GPT Image models) to generate professional marketing materials for real estate professionals. The Service includes but is not limited to:

• AI-generated social media posts (square, vertical, story formats)
• Marketing flyers and brochures for property listings
• Open house promotional graphics
• Facebook banners and cover images
• Custom branded materials with user-provided logos and photos

The Service is designed specifically for licensed real estate agents, brokerages, marketing teams, and real estate virtual assistants operating in the United States market.

4. Credits, Pricing, and Payments

4.1 Credit System

• The Service operates on a prepaid credit system. Each image generation consumes one (1) credit per output format.
• Credits are purchased in packages as displayed on the pricing page.
• Credits do not expire as long as your account remains active and in good standing.
• Credits are non-transferable between accounts.

4.2 Payment Processing

• All payments are processed securely through PayPal's payment infrastructure.
• We do not store your credit card or financial information on our servers.
• Prices are displayed in US Dollars (USD).
• Sales tax may apply depending on your jurisdiction.

4.3 Refund Policy

• Credit purchases are generally non-refundable once processed.
• If a generation fails due to a system error (not a content policy issue), the credit will be automatically refunded to your account balance.
• Refund requests for unused credits may be considered within 14 days of purchase on a case-by-case basis. Contact support for assistance.
• We do not provide refunds for generated images that do not meet subjective quality expectations, as AI outputs are inherently variable.

5. Intellectual Property Rights

5.1 Your Content

• You retain full ownership of all content you upload, including property photos, logos, brand assets, and listing information.
• You represent and warrant that you have the right to use any content you upload (including MLS photos, agent headshots, and brokerage logos).
• You grant us a limited, non-exclusive license to process your uploaded content solely for the purpose of providing the Service.

5.2 Generated Outputs

• Images and materials generated through the Service are owned by you.
• You may use generated outputs for any lawful commercial purpose, including marketing, advertising, print materials, and digital distribution.
• We do not claim ownership over AI-generated outputs created from your inputs.
• Note: AI-generated images may not be eligible for copyright registration in all jurisdictions. Consult legal counsel for specific intellectual property guidance.

5.3 Our Platform

• The Listing Packs AI platform, including its code, design, algorithms, branding, and documentation, remains our exclusive intellectual property.
• You may not copy, modify, or create derivative works based on the Service.

6. Acceptable Use Policy

You agree that you will NOT use the Service to:

• Generate fraudulent, misleading, or deceptive real estate marketing materials.
• Create content that misrepresents property conditions, features, or pricing.
• Upload content that infringes on third-party copyrights, trademarks, or other IP rights.
• Generate content depicting illegal activities, violence, hate speech, or explicit material.
• Reverse-engineer, decompile, or attempt to extract source code from the Service.
• Use automated scripts, bots, or scrapers to access the Service.
• Resell, redistribute, or white-label the Service or its outputs as a competing AI generation platform.
• Overload or disrupt the Service infrastructure through abuse or excessive requests.
• Violate any applicable local, state, federal, or international law.
• Violate fair housing laws, the NAR Code of Ethics, or state real estate commission regulations in your generated materials.

7. AI-Generated Content Disclaimer

• AI outputs are generated algorithmically and may contain imperfections, including typographical errors, layout inconsistencies, or inaccurate visual representations.
• You are solely responsible for reviewing all generated content before publishing or distributing it.
• We do not guarantee that generated text will be grammatically perfect or factually accurate.
• The AI may occasionally modify visual elements of uploaded photos (lighting, atmosphere). Always verify that generated materials accurately represent the property.
• Generated content should comply with your local MLS rules, brokerage policies, and advertising regulations. We are not responsible for compliance failures.

8. Service Availability and Uptime

• We strive to maintain high availability but do not guarantee uninterrupted service.
• The Service depends on third-party providers (OpenAI, Cloudflare, PayPal) whose availability is outside our direct control.
• We may perform scheduled maintenance with advance notice when possible.
• We are not liable for losses resulting from service interruptions or downtime.

9. Content Moderation

The AI model includes built-in content safety filters managed by OpenAI. Certain prompts or image combinations may be declined by the AI if they violate content policies. This is not a defect in the Service — it is a safety feature. Credits are not consumed for failed generations due to content policy blocks.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR SPECIFIC REQUIREMENTS, THAT OUTPUTS WILL BE ERROR-FREE, OR THAT THE SERVICE WILL BE UNINTERRUPTED.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL Listing Packs Inc., ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless Listing Packs Inc. and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

13. Account Termination

• You may close your account at any time by contacting support.
• We may suspend or terminate your account immediately for violation of these Terms.
• Upon termination, your access to the Service ceases and unused credits are forfeited.
• We may retain anonymized usage data for analytics purposes after account closure.
• Provisions that by their nature should survive termination (IP rights, liability limitations, indemnification) shall survive.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or in-app notification at least 14 days before taking effect. Your continued use of the Service after changes become effective constitutes acceptance. If you disagree with updated Terms, you must discontinue use and close your account.

15. Governing Law and Dispute Resolution

• These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.
• Any disputes arising under these Terms shall first be attempted to be resolved through good-faith negotiation.
• If negotiation fails, disputes shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.
• You waive the right to participate in class action lawsuits or class-wide arbitration.

16. Third-Party Services

The Service integrates with third-party providers. Your use of these integrations is subject to their respective terms:

• OpenAI: AI image generation processing. Subject to OpenAI's Usage Policies.
• PayPal: Payment processing. Subject to PayPal's User Agreement.
• Cloudflare: Infrastructure hosting and CDN. Subject to Cloudflare's Terms of Service.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Listing Packs Inc. regarding the Service, superseding any prior agreements or communications.
